Sitroniks OAO (Sitronics OJSC)

In June 2011 JSC RTI purchased the majority stake (63.074%) from JSFC SISTEMA and became controlling shareholder of the Company. The main shareholders of JSC "RTI" are

Beginning in 2008, SITRONICS undertook key measures to optimize and integrate the Group’s businesses: determining priority business trends, consolidating subsidiaries under a single umbrella brand and centralizing sales and marketing functions.

In 2009, SITRONICS launched new products, concluded numerous landmark contracts, entered promising geographic markets and optimized costs.

  • SITRONICS Information technologies

Over 45 years on the microelectronics market. The largest manufacturer and exporter of microelectronics in Russia and CIS, with a complete production cycle encompassing everything from chip development to end product release.


    • JSC Sitronics (Sitronics OAO) is a technology solution company with operations primarily conducted in the Russian Federation, Ukraine, Czech Republic, Greece and Romania.

The Company operates through three business segments.

  • The Telecommunication Solutions segment is engaged in the design, manufacture and distribution of hardware and software products, including convergence solutions. It also offers system integration and customization services for fixed line, mobile telecommunication and other operators.
  • The Information Technologies Solutions segment is engaged in computer systems integration, information technology (IT) consulting and software development services for telecommunication operators, banking and financial institutions, and the public sector.
  • The Microelectronic Solutions segment is engaged in the design, manufacture, testing and distribution of semiconductor products and components, and distribution and production of chip cards, microchip packaging and related solutions.

In June 2011 JSC RTI purchased the majority stake (63.074%) from JSFC SISTEMA and became controlling shareholder of the Company.

As of December 31, 2009, Sistema JSFC held a 64% interest in the Company and it had representative offices in 38 cities of 30 countries worldwide. In April 2010, the Company acquired the remaining 35% of the shares in LLC SITRONICS Smart Technologies (SST) from Giesecke&Devrient GmbH (G&D).

In April 2009, the Company acquired a 74% interest in CJSC PARAVAN, a Russian engineering company specializing in industrial automation systems and security solutions, and acquired a 51% in LLC NETWORK SYSTEMS, a Russian developer of information security and encryption-based data protection programs and software.


In October 2009, the Company, together with Sistema JSFC signed an investment agreement to launch a full-scale, 90-nanometer microchip production in cooperation with the Russian Corporation of Nanotechnologies (RUSNANO).

In December 2009, it contributed its 180-nanometer equipment and RUSNANO contributed cash into the equity of LLC SITRONICS-NANO (SITRONICS-NANO). The primary purpose of SITRONICS-NANO is to acquire equipment and licenses necessary to launch 90-nanometer microchip production and to lease them to the Company.

During the year ended December 31, 2009, the Company established subsidiaries to introduce the complete range of its products and solutions to the markets in India (Sitronics India), in Bashkortostan (SITRONICS Bashkortostan) and in Armenia (SITRONICS Armenia). The subsidiary in Armenia has been created in order to centralize the management of the CJSC MARS plant and three scientific research institutes, and the management of a free economic zone, which is being created on these sites. These assets are owned by the Russian Federal Agency for State Property Management (ROSIMUSHCHESTVO), and have been managed by the Company.

The Company’s subsidiary, Intracom Telecom, is the Company’s principal vendor outside of Russia and the Commonwealth of Independent States. Intracom Telecom has a network of subsidiaries in Central and Eastern Europe, and is expanding its presence in the Asia-Pacific region.

Telecommunication Solutions Segment

The operating entities in the Telecommunication Solutions segment include Intracom S.A. Telecom Solutions (Intracom Telecom), Intrarom S.A., SITRONICS Telecommunication Solutions, Czech Republic a.s. and JSC SITRONICS Telecommunication Solutions. This segment combines companies that develop software and equipment for landlines and mobile communications. This business provided 57% of revenue for the Company in 2009.

The Company offers wireless network systems, telecommunications software, and outsourcing and other solutions. Under wireless network systems, it offers solutions for all operators enabling them to provide new subscribers network access, including OmniMAX (a high-end mobile WiMAX access solution) and WiBAS (a multi-service broadband access solution for small and medium enterprises; deploy wireless networks using radio waves, including Omni-BAS (data transmission) and INTRALINK (radio relay data transmission), and modernize fixed networks to provide broadband access, including iBAS MSAN (for regions with high subscriber density) and FASTmux (for regions with sparse population).

During 2009, the solutions sold by the Company included WiBAS Point-to-Multipoint wireless platforms and INTRALINK plesiochronous digital hierarchy (PDH)/synchronous digital hierarchy (SDH) microwave link platforms.

During 2009, it also delivered telecommunications equipment to expand the networks of Mobile TeleSystems (MTS) in Russia, K-Telecom in Armenia, GLOBUL in Bulgaria and Moldtelecom in Moldova.

The Company’s telecommunications software includes FORIS solutions, which are the flagship product for the Company, and help operators to control costs. The FORIS Charging and Billing service provides operators revenue receipts on accounts. FORIS is used by mobile and fixed service operators serving more than 100 million subscribers in Russia, the Commonwealth of Independent States, India, Czech Republic, Serbia, Congo and Uganda. The FORIS Inter Partners system is designed for settlements between operators and billing services for roaming. FORIS Revenue Assurance helps in reducing losses arising from revenue leaks due to system errors and errors in processing and monitoring data. The Company has also created solutions allowing operators to become multi-service providers offering and charging converged fixed and mobile voice, data and content services, including revenue generating digital content and Internet protocol television (IPTV) services (full-service content delivery network); new generation intelligent networks (NGIN) and other value-added services (VAS), including MEDIO IN/VAS and MEDIO IN/OCS, NGIN suite on top of HP OpenCall platform, ServiceWeaver, and Policy Management & Enforcement Solution (Action-Ruler). It also supplied integrated asymmetric digital subscriber line (ADSL) access units and IPTV equipment for Telecom Srbija (Serbia).

Outsourcing services are an important business for the telecommunication solutions segment that are used by many operators worldwide. Professional services include software development, integrated and customized solutions, transformation of networks, call center outsourcing and other services. Ericsson is one of the Company’s biggest clients in this area, using the Company’s research and development outsourcing services.

Information Technologies Solutions Segment

The operating entities in the Information Technologies Solutions segment include SITRONICS IT B.V., JSC Kvazar-Micro Techno and LLC SITRONICS Information Technologies. The Information Technologies segment offers clients a range of solutions to create added value for their businesses. IT solutions generated 22% of the Company’s revenue during 2009. Information Technologies is a supplier of IT solutions, products and services in Russia, the Commonwealth of Independent States and Eastern Europe. It offers a range of solutions for the telecoms, financial and public sectors, as well as for diversified industry. The Company offers multiple infrastructure solutions based on the products of companies, such as IBM, Sun Microsystems, Hewlett-Packard, EMC, HDS, Cisco Systems, АРС and others. It integrates information resources and software systems under a single system. It also engages in creating portals and intranet systems, knowledge base management systems, and workflow and document management systems. It implemented projects for the Governments of Bashkortostan, Kazakhstan and Tatarstan in 2009.

The Company offers design and construction of networks for telecom operators and corporate telecom networks, including distributed systems, wireless networks, and integrated operational support and business support systems (OSS/BSS). The construction of a WiMAX network for Comstar-UTS in Russia and a test wireless broadband access network for Comstar-Ukraine were completed during 2009, and the third stage of the construction of a code division multiple access (CDMA)-based, high-speed wireless access network for MTS in Ukraine commenced. The Company engages in management consulting, including introduction and integration of business applications consisting of introduction and support for enterprise resource planning (ERP) systems, consulting for corporate information systems (CIS), introduction of analytical systems, customer relationship management (CRM), electronic document and office administration systems (Workflow), and business intelligence technology. It is also engaged in IT outsourcing providing support for IT processes and technical support for equipment, and training and certification, providing training for system administrators, developers and users, including training in project management and software development methods, and IT service management.

Microelectronic Solutions Segment

The operating entities in the Microelectronic Solutions segment include PJSC Mikron, JSC VSP-Mikron, LLC SITRONICS Smart Technologies and LLC SITRONICS - Nano. The Microelectronics segment is a manufacturer of integrated circuits (ICs) and a Russian producer of smartcards in Russia and the Commonwealth of Independent States (CIS). The Company has created a completed production cycle from the IC design to wafer production, assembling and supplies. It produces more than 500 types of semiconductor devices. It exports analog and mixed signal power management ICs for various automotive and consumer electronics, light emitting diode (LED) lighting devices and play stations to Taiwan, Korea, China, Japan and Hong Kong. During 2009, it introduced new product lines, including analog digital/digital analog converters used in telecom equipment, interface chips and power drivers.

The Company offers radio frequency identification (RFID) products, including contactless cards and tags. Telecom cards are supplied for MTS and MegaFon subscribers. During 2009, SITRONICS won tenders to produce bank cards for Sberbank and VTB24. Social cards are used by citizens receiving benefits. The Company has developed the chip and operating system for the social cards. During 2009, the Company submitted a chip it designed for electronic (biometric) passports for testing. During 2009, the Company carried out research and development projects for more than 300 customers, and participated in the 2008-2015 Federal Programme for the Development of an Electronics and Electronic Components Base. Mr. Gennady Yakovlevich Krasnikov has been Vice President, Head of SITRONICS Microelectronics and Member of the Management Board of Sitroniks OAO since 2007. Ms. Oksana Vasilevna Kovalevskaya has been Member of the Management Board of Sitroniks OAO since 2008. She is Member of the Company's Committee on Strategy, Mergers and Acquisitions. On October 2, 2008, she was appointed Vice President for Strategy of Sitroniks OAO.

From 1998 to 2000, she worked as an Internet-provider manager at a Russian subsidiary of Sonera (formerly, Telecom Finland).

From 2002 to 2004 she worked as a Deputy Sales Director of Closed-type JSC NTV-Plus.

In 2004 she was appointed as an Executive Director of AFK Sistema, Department of Enterprise Development. Since 2006 she fulfilled the duties of Deputy General Director of JSC Sistema Mass-Media, Strategy and M&A.

She graduated from the Moscow Engineering and Physical Institute (MIFI), (currently National Research Nuclear University MEPhI), in 1995 and after that she received an MBA degree from the University of Michigan Business School (USA) in 2002.

Mr. Vadim Feliksovich Melkumov has held the positions of Vice President and Member of the Management Board at Sitroniks OAO since January 2010.

Since December 1, 2009 Mr. Melkumov has been President of JSC Kvant, and since January 1, 2010 General Director of JSC Elaks.

He is Chairman of the Boards of Directors of CJSC SITRONICS Armenia, JSC Elion, CJSC Kontsel; a Member of the boards of JSC Kvant, JSC Elaks.

From to 1994 to 2001, he worked with Bank Menatep and JSC Yukos, where he handled the restructuring of subsidiaries.

From 1996 to 1997 he was an aide to the first deputy minister for industry of the Russian Federation. In 2001 he created and headed UFG’s external relations department, and in 2002 he became the director UFG’s corporate finance department.

From 2003 to 2006 he worked at TNK-BP, first on restructuring its oil service business, and then from 2006 to 2009 he worked as director of its M&A department.

He graduated from the Plekhanov Russian Academy of Economics (currently Plekhanov Russian Economic University) with a degree in Economics in 1995 and in 2002 from The All-Russia State Tax Academy with a degree in Jurisprudence.

Mr. Mikhail Genrikhovich Minkovskiy has been Vice President for New Technology in Sitroniks OAO since November 2007. In 2007, he was also appointed Member of the Management Board at the Company. Prior to joining the Company, from 1990 to 1997 he worked in Physical Institute named after P.N. Lebedev of RAS, a number of IT-companies in USA and Russia. From 1997 to 2001 he was Chief Expert, Lead Consultant at PricewaterhouseCoopers. Between 2001 and 2003 he managed introducing the infrastructure of enterprise applications at Corio, Inc., California, USA, then at TNK-BP. Since 2004 he has been a Head of IT-Architecture Department of JSC Mobile TeleSystems. In 2006 he was appointed Director of IT-Architecture Department of corporate center of JSC Mobile TeleSystems. In 1990 he graduated from Moscow Engineering and Physical Institute (currently National Research Nuclear University MEPhI).

Mr. Oleg Vitalevich Shcherbakov has been Member of the Management Board of Sitroniks OAO since October 2007. Since May 2006, he has held the post of Vice President for Corporate Property at the Company. From July 2006 to June 2007, he was also Member of the Management Board at the Company. In addition to his duties at the Company, since 2000, he has been General Director of Lamineya ZAO.

He is also Member of the Board of Directors at a number of companies, including SST OOO, SITRONIKS KASU ZAO, Sitroniks Management OOO, Kontsel ZAO and VZPP-Mikron ZAO, among others. From 2005 to 2007, he acted as Director of Capital-Invest ZAO.

He graduated from the Law Department of Military University of the Russian Ministry of Defense in 1994.

Mr. Boris Matveevich Volpe has been Member of the Management Board and Vice President for Marketing and Business Development at Sitroniks OAO since February 25, 2010.

From 1995 to 1997 he worked as Regional Manager for Mars LLC in Novosibirsk.

From 1998 to 2001 he was Regional Director for Sales and Marketing with the Russian subsidiaries of RJR and JTI Intl.

From 2001 to 2004 he worked in retail business development at Alfa Bank.

In 2004 he headed marketing department of the SAP representative office in the CIS, and in 2006 he was appointed as Chief Operation Officer at SAP CIS.

Starting from August 2009 he worked as Chief operating Officer, SW Group at IBM East Europe/Asia. He occupied the post of Member of the Management Board in a number of companies.

He graduated from Altai Polytechnic Institute (currently Altay Sate Technical University) in 1988 with honors degree in Mechanical Engineering. In 1992 he completed post-graduate studies at the Institute of Structural Macrokinetics of the Russian Academy of Sciences, and in 1998 he was received a Doctoral degree by the Institute of Strength Physics and Materials Science of the Russian Academy of Sciences. Mr. Volpe holds Doctorate degree in Technical Sciences. In 2003 he received an MBA degree from the Open University Business School, and in 2006 he studied at INSEAD

Mr. Alexandros-Stergios Manos has been Member of the Management Board of Sitroniks OAO since October 31, 2007.

He has also served as General Director of the Company's subsidiary, INTRACOM TELECOM since January 2006. In 1998 he joined the INTRACOM HOLDINGS. In 2002 he was appointed General Director of CONKLIN CORPORATION, subsidiary of INTRACOM, located in Atlanta, USA. In March 2004 he was named to the post of Director for Corporate Marketing and international division for operators service. In January 2005 he was appointed Executive Director for Telecommunications systems.

He received the B.S. degree in Electrical Engineering and Economics from Brown University (Providence, Rhode Island, USA) as well as M.S. degree in Electrical Engineering and Computer Technologies from Massachusetts Institute of Technology (Cambridge, Massachusetts, USA).

Mr. Vladimir Vasilevich Yasinskiy serves as Member of the Management Board and Head of SITRONICS Information Technologies Business Direction. He was appointed Member of the Management Board at the Company in February 2008, and held this post before from July 2006 to October 2007. From August 2006 to October 2007, he was also First Vice President at the Company.

Since 1994 he has worked as an Intel products manager at Kvazar-Micro, then appointed Business Development Director. From February 2004 to March 2006 he was Vice-President of Kvazar-Micro, Finances. From 2006 to 2007 he was also Member of Administration of Kvazar-Micro Company.

Since 2008, he has been Chairman of the Board of Directors at SITRONIKS IT and Chairman of the Management Board of DP Sitroniks Informatsionnye Tekhnologii.
